1. Agreement to Terms
Welcome to Pasiflora AI. These Terms of Service constitute a legally binding agreement between you and Pasiflora AI LLC, a limited liability company organized under the laws of the State of Minnesota, United States ("Pasiflora AI," "we," "our," or "us"), concerning your access to and use of our website and services. By accessing our platform, you agree to be bound by these terms.
2. Expert Services
Our platform facilitates connections between clients and independent expert contractors providing specialized AI services. These contractors are independent professionals, and their relationship with Pasiflora AI is that of an independent contractor, not an employee or agent.
3. Payment Terms
Fees for services will be clearly defined in each specific service agreement. All payments are handled securely through our platform. Compensation schedules and invoicing terms will be detailed in the project statement of work. Late payments may incur additional charges.
4. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in and to the work product created by expert contractors for the client will automatically transfer to the client upon full payment. Pasiflora AI retains its own pre-existing intellectual property rights.
5. Confidentiality
Both parties agree to maintain the confidentiality of all non-public information disclosed during the engagement. This includes trade secrets, technical data, and business strategies. Strict data protection measures must be adhered to, consistent with applicable laws and regulations.
6. Eligibility
You must be at least 18 years of age to use our platform. By using our services, you represent that you have the legal capacity to enter into a binding contract and that you are not prohibited from doing so under applicable law.
7. Termination
Either party may terminate an engagement with written notice as specified in the service agreement. Pasiflora AI reserves the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or fail to meet quality standards.
8. AI Assistant and Automated Features
Our website and expert portal include a support assistant powered by artificial intelligence. You are interacting with an automated system, not a human. It can be inaccurate, incomplete, or out of date, and nothing it says is a promise, a contractual commitment, or a decision about your account, application, work, or payment. Where it describes pay rates, payment timing, review turnaround, eligibility, or programme requirements, those statements are general guidance only and do not override these Terms, your service agreement, or anything confirmed to you in writing by our team. If an answer matters to a decision you are making, confirm it with a person at support@pasifloraai.com — you can reach our team that way at any time and are never required to use the assistant. Do not send confidential, medical, financial, or other sensitive personal information through the assistant; see our Privacy Policy for how these conversations are processed. We may change, limit, or withdraw the assistant at any time.
9. No Warranty
The platform is provided on an "as is" and "as available" basis. We do not warrant that the platform will be uninterrupted, secure, or error-free, or that any defect will be corrected. In particular, and without limiting the above: joining an interest list, submitting an application, being approved to the expert pool, or completing the Bloom Program does not entitle you to any work, any amount of work, or any income. Task availability depends on client demand, which we do not control and cannot predict. Any figures we publish for hourly rates describe what assigned work pays when it is assigned; they are not an offer, a forecast, or a representation that work will be offered to you. Output from our AI features, including the support assistant and any automated scoring, may be inaccurate or incomplete and should not be relied on as a statement of fact about your account or your prospects.
10. Limitation of Liability
To the fullest extent permitted by law, Pasiflora AI LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, loss of earnings, loss of anticipated income, loss of opportunity, loss of data, or loss of goodwill, arising out of or relating to your use of the platform, whether or not we were advised of the possibility of such losses. Our total aggregate liability for all claims relating to the platform will not exceed the greater of (a) the total amount we paid you for services in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars. Nothing in these Terms excludes or limits our liability for fraud or fraudulent misrepresentation, for death or personal injury caused by our negligence, for gross negligence or wilful misconduct, or for any other liability that cannot lawfully be excluded or limited. If you are a consumer, nothing in these Terms affects rights you have under the mandatory law of your country of residence, and those rights take precedence over anything in this section that conflicts with them.
11. Your Responsibility to Us
You agree to indemnify and hold harmless Pasiflora AI LLC and its personnel against any claim, loss, liability, or reasonable expense arising from: your breach of these Terms or of a service agreement; any misrepresentation of your identity, credentials, qualifications, or work history; your infringement of a third party's intellectual property or confidentiality rights; and any work you submit that you were not entitled to submit. This does not apply to the extent the claim arises from our own breach, negligence, or wrongdoing.
12. Governing Law and Where Disputes Are Heard
These Terms, and any dispute arising out of or relating to them or to your use of the platform, are governed by the laws of the State of Minnesota, United States, without regard to its conflict-of-laws rules. You and Pasiflora AI LLC agree that such disputes will be brought exclusively in the state or federal courts located in Minnesota, and you consent to the personal jurisdiction of those courts. This does not stop either of us from seeking injunctive relief in any court of competent jurisdiction to protect confidential information or intellectual property. If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose law gives you non-waivable rights, nothing in this section deprives you of the protection of the mandatory law of your country of residence or of your right to bring proceedings in your local courts; where that law conflicts with this section, that law prevails. If any part of this section is held unenforceable as to you, the remainder continues to apply.
13. Acceptable Use
You agree not to: misrepresent your identity, credentials, qualifications, employment history, or location; allow anyone else to use your account, or submit work that someone else performed as if it were your own; submit work generated by an AI system where the engagement prohibits it; disclose, copy, or retain client materials, prompts, or datasets outside the platform, or use them for any purpose other than the engagement; attempt to access any account, workspace, or data you have not been granted access to, or to escalate the permissions of your own account; use automated means to scrape, harvest, or bulk-download from the platform; interfere with the vetting, review, or quality-scoring process, including by coordinating with others to influence an assessment; or use the platform for any unlawful purpose. We may suspend or terminate access for conduct described in this section, and may withhold payment for work obtained in breach of it.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will change the "last updated" date on this page, and where the change materially affects your rights or obligations we will take reasonable steps to tell you directly, such as by email or an in-product notice. Changes apply going forward, from the date they are posted; they do not apply retroactively to a dispute that has already arisen. If you continue to use the platform after a change takes effect, you accept the updated Terms. If you do not accept them, stop using the platform and, if you wish, ask us to close your account — the sections listed in the Survival paragraph below will still apply to what happened before then.
15. General
Survival: the sections covering Intellectual Property, Confidentiality, Acceptable Use, No Warranty, Limitation of Liability, Your Responsibility to Us, and Governing Law survive the end of your relationship with us, whether your account is closed by you or by us. Severability: if any provision of these Terms is held unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in full force — an unenforceable clause does not take the rest of the agreement with it. No waiver: if we do not enforce a provision on one occasion, that is not a waiver of our right to enforce it later. Assignment: you may not assign or transfer your rights under these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Entire agreement: these Terms, together with our Privacy Policy and any service agreement or statement of work you have signed, are the entire agreement between us on this subject and replace any earlier understanding. Where a signed service agreement conflicts with these Terms, that agreement governs for the work it covers. Events outside our control: we are not liable for failure or delay caused by something beyond our reasonable control, including outages at a third-party provider we depend on.
